Public Procurement & Government Transactions

What We Offer

1

Mergers and Acquisitions

We lead complex M&A transactions in Kenya and across the region, handling acquisitions of listed and unlisted companies across sectors including energy, agribusiness, insurance, and financial services. Our team manages deal structuring, regulatory approvals, due diligence, and negotiation through to closing.

2

Capital Markets and Securities

We advise on licensing at the Capital Markets Authority, including Money Manager licenses and Unit Trust Schemes across equities, fixed income, and balanced funds. We have supported multiple fund managers through the regulatory authorisation process and advise listed entities on ongoing compliance requirements.

3

Corporate Restructuring and Cross-Border Transactions

We advise on corporate group restructures involving entities across multiple jurisdictions, including the USA, China, Canada, Kenya, Uganda, Tanzania, and the UAE. Our work includes holding company establishment, inter-company agreement restructuring, trademark registration, and licensing arrangement review.

4

Investment and Joint Venture Structuring

We advise private investors and consortia on complex investment structures, including participation in affordable housing urban renewal programmes, joint venture arrangements, and the establishment of foreign entities in Kenya, including NGO establishment and tax exemption applications.

Our Corporate Law Services Include

Our Corporate and Commercial practice covers the full range of transactional and advisory work for businesses at every stage of growth. We have led the acquisition of an 84% stake in a publicly listed energy sector company, and the acquisition of a listed agribusiness company on the Nairobi Securities Exchange. We have advised a consortium of private investors on a USD 200 Million urban renewal affordable housing programme, assisted a logistics company in restructuring its group across six countries, and guided multiple entities through Capital Markets Authority licensing. Our services include M&A transaction management, due diligence, deal structuring, regulatory liaison, joint venture negotiations, licensing agreements, trademark registration, and corporate advisory for both local and international clients operating in or entering East Africa.

Why Businesses Trust Us

Commercial clients trust us because we combine genuine transactional experience with the regulatory knowledge that is essential in Kenya's market. The ability to close a deal in a heavily regulated environment, whether that requires navigating the Capital Markets Authority, competition approvals, or public procurement rules — requires a firm that understands both the legal framework and the commercial imperatives. We have led transactions at the top end of the market, including publicly listed company acquisitions and cross-continental group restructures, giving us the experience to anticipate and resolve the complications that derail deals handled by less experienced teams.
